The terms that govern your use of Sarvam Code, our website, and any paid plan.

1. Agreement to these terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you” or the “User”) and Alphabench LLP (“Alphabench”, “we”, “us”, or “our”), a limited liability partnership incorporated under the laws of India, governing your access to and use of the Sarvam Code command-line tool (the “CLI”), this website, and any related services, software, and content (together, the “Service”).

By installing, accessing, registering for, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility and accounts

2.1. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, and capable of forming a binding contract to use the Service.

2.2. Certain features require you to register for an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are solely responsible for safeguarding your credentials and for all activity that occurs under your account, and you must notify us promptly of any unauthorised use.

2.3. We may suspend or terminate accounts, refuse service, or reclaim usernames that we reasonably believe violate these Terms or applicable law.

3. License to use the CLI

3.1. Subject to your continued compliance with these Terms, Alphabench grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the CLI for your internal personal or business software-development purposes. The CLI is licensed, not sold, and no ownership rights are transferred to you.

3.2. Except to the extent expressly permitted by these Terms, applicable law, or the license terms of an included third-party component, you must not copy, modify, distribute, sell, lease, sublicense, reverse-engineer, decompile, or create derivative works of the Service, nor remove or alter any proprietary notices.

3.3. The CLI incorporates open-source and other third-party software, each of which remains subject to its own license. Those licenses govern your use of the relevant components and, where they conflict with the restrictions in these Terms, the third-party license prevails with respect to that component.

4. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for the code you run the agent against, for reviewing the changes it proposes before applying them, and for any commands you permit it to execute. Without limiting the foregoing, you must not, and must not permit any third party to:

  • use the Service to create, generate, or distribute content that is unlawful, infringing, defamatory, malicious (including malware), or that violates the rights or privacy of others;
  • attempt to disrupt, degrade, or interfere with the Service or its infrastructure, or gain unauthorised access to any system, account, or data;
  • circumvent, disable, or attempt to exceed any rate limits, usage limits, access controls, or other technical or security measures;
  • resell, redistribute, sublicense, or otherwise make the Service or its underlying model APIs available to third parties except as expressly permitted;
  • use automated means to scrape, harvest, or extract data from the Service beyond the documented interfaces, or to generate artificial or abusive load; or
  • use the Service in violation of any applicable law, regulation, export control, or the acceptable-use terms of any underlying model provider.

5. Plans, billing, and refunds

5.1. Certain features require a paid subscription or the purchase of usage packs, billed as described on our pricing page. By selecting a paid plan, you authorise us and our payment processors to charge the applicable fees, together with any taxes, to your designated payment method.

5.2. Subscriptions are billed in advance on a recurring basis and renew automatically for successive periods of the same length until cancelled. You may cancel at any time; cancellation takes effect at the end of the then-current billing period, and you retain access until that date. Usage-pack credits are consumed as you use the Service and may expire as stated at the time of purchase.

5.3. All fees are quoted exclusive of taxes unless stated otherwise, and you are responsible for any applicable taxes, duties, or levies. If a charge fails, we may retry the charge and may suspend or downgrade paid features until payment is received.

5.4. Except where required by applicable law, all payments are final and non-refundable. Subscription fees already paid for the current period are not refunded upon cancellation, and usage-pack credits, whether or not consumed, are non-refundable.

5.5. We may change our prices or introduce new fees from time to time. Price changes apply only to billing periods beginning after we provide notice, and your continued use after the change takes effect constitutes acceptance of the revised pricing.

6. Your code and content

6.1. As between you and us, you retain all rights, title, and interest in the code, prompts, and other content you provide to or process with the Service (“Your Content”). You grant us only the limited rights necessary to operate and provide the Service to you.

6.2. Sarvam Code is local-first: in local-only mode your code never leaves your machine, and cloud model calls are opt-in and clearly indicated. We do not retain your source code on our servers, and prompts are not used to train models. How we handle website and account data is described in our Privacy Policy.

6.3. You are solely responsible for Your Content and for maintaining appropriate backups. You represent that you have all rights necessary to submit Your Content to the Service and that doing so does not violate any law or third-party right.

7. Disclaimers and limitation of liability

7.1. Sarvam Code is an AI coding assistant and can make mistakes, including producing inaccurate, incomplete, or insecure output. The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for reviewing and testing any output before relying on it.

7.2. To the maximum extent permitted by law, Alphabench and its partners, officers, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, goodwill, or business, arising out of or relating to your use of (or inability to use) the Service.

7.3. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless Alphabench and its partners and personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, or your breach of these Terms or of applicable law.

9. Changes and termination

9.1. We may update these Terms from time to time. Material changes will be reflected by the “last updated” date above, and your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

9.2. You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, for violations of these Terms, to comply with the law, or to protect the Service or its users. Provisions that by their nature should survive termination, including those on intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

10. Governing law and dispute resolution

These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts at Mumbai, Maharashtra, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of, and venue in, those courts.

11. Trademarks and affiliation

Sarvam Code is an independent product built and operated by Alphabench LLP. It is not affiliated with, endorsed by, or sponsored by Sarvam AI. Sarvam Code uses Sarvam AI’s language-model APIs as one of several model providers. “Sarvam”, “Sarvam AI”, and any related marks are the property of their respective owners and are referenced here only to describe that underlying technology.
